BOARD OF EDUCATION PROTOCOLS  
The purpose of these protocols is to provide a basic set of professional  
standards by which the Board and the Superintendent are to function as a  
team. There is no intention to abridge the rights and obligations of Board  
Members to oversee the operation of the organization, nor to interfere with the  
Superintendent with her role as the Superintendent of OUSD.  
General  
1. Every action by a Board Member should be directed toward improving the  
educational program for students.  
2. Every Board Member will exhibit behavior that is honorable, honest, and  
dedicated to the success of the students and staff of the district.  
3. Each Board Member is to be treated with dignity and respect.  
4. Board Member Commitment will include:  
Participate fully in the discussion of issues  
Listen respectfully to all views and opinions  
Respect each individual’s opinion  
Accept the majority action of the Board  
Board Members  
5. An individual Board Member will not use the media as a personal forum,  
unless it is clearly indicated that the opinion is personal and not  
representative of the Board majority position.  
6. Each Board Member will make every effort to attend all Board meetings in  
person; and to start and end on time.  
7. Board Members will ensure opportunities for each to comment.  
Superintendent  
8. Staff is the responsibility of the Superintendent who will bring  
recommendations to the Board for action.  
9. Questions regarding Board agenda items are to be communicated to the  
Superintendent prior to the Board meeting and the Superintendent will  
respond in a timely manner.  
10. The Superintendent is to communicate all significant administrative  
actions to the Board.  
11. Legal and personnel matters will be confidential.

MEETING PROCEDURES  
All Board meetings shall begin on time and shall be guided by an agenda  
prepared in accordance with Board bylaws and posted and distributed in  
accordance with the Ralph M. Brown Act (open meeting requirements) and  
other applicable laws.

The President shall conduct Board meetings in accordance with law, Board  
Bylaws, and its parliamentary authority which shall enable the Board to  
efficiently consider issues and carry out the will of the majority.

The Board believes that late night meetings deter public participation, can  
affect the Board's decision-making ability, and can be a burden to staff.  
Regular Board meetings shall be adjourned not later than 11:00 p.m. unless  
the Board agrees to extend the meeting, which may only be done once by 45

our district forward, and I like to continue to build upon that. I really believe  
that partnerships are important, and I believe that trust, honesty,  
accountability and transparency are as well. And I think that as we move  
forward, I look forward to continuing to build relationships with the Board in  
regards to extending ourselves to the community, community engagement  
and really being present and listening, so thank you very much.  
I just want to share a little bit of my ideas again, it’s very close to what I’m  
speaking of right now. What we really have to do in our District is really raise  
the educational and achievement opportunities for our students. I believe we  
are on the right path. I really want to thank the Superintendent for her great  
leadership as we’re moving forth. I look forward to working with the  
Superintendent and all of the District Staff so we can come up with a plan  
that would be very sustaining and that will be supporting our students and  
really engaging our communities in the discussion. It is critical to establish  
an effective and efficient governance structure and ensure transparency and  
accountability. I believe that we all have a mission on closing opportunity  
gaps across Oakland for all. As I said before, our students and families and  
communities come from different backgrounds. We have unique  
experiences that need to be heard and valued especially as we continue to  
deal with the impacts of the pandemic. By working together, we will become  
a stronger District and I promise to advocate for our students, our families  
and as a collective voice on our school Board and our leadership team.  
I aim to build bridges and continue to push us forward as OUSD to increase  
the investments in our students, our certificated and our classified staff. It is  
very important that we make sure everyone has a living wage and I definitely  
want to make sure that we invest in the schools that need it the most. I  
humbly ask the community for your support. I look forward to working with  
the community, I look forward to working with the District and I definitely look  
forward to working with our Board Members to make that dream come true. I  
want to thank everybody for your support. Thank you Board Members who  
supported me and I want to be really clear. This opportunity really was  
resting on my mind this morning when I woke up and I had to do a self-  
analysis, self assessment to see how we best can move this forward and I  
really believe that I am the best person to do it and I look forward to working  
with all of you to make sure that OUSD becomes one of the best Districts in  
the Bay Area. Thank you very much."

Vice President Clifford Thompson address:  
"I am really excited that individuals really have trust in what I am going to do.  
I feel really excited that I can actually work with the Board. As all of you have  
seen, I am able to work with anyone because of my values and my ethics.  
President Williams, I am sure you and I will work very well together. We will,  
I am sure, move our District forward as has been the case in what I echoed  
so many times while on the Board. I want to make sure that we get back to  
what it use to be when I was in the District in Oakland and we had 54,000  
kids. I remember that extremely well when I was a teacher at Franklin, Year  
Round School, and when I was a Principal of Oakland Tech. I remember all  
of these things. Of Course, the number of students attending our schools  
were less when I was Principal of Oakland Tech, but we were near 40,000  
students at that time, so I know we can get back to that I’m sure with your  
leadership, President Williams. Also with my assisting you, we are going to  
get back to where we were before. Thank you everyone for your trust in me.  
Thank you everyone because I am going to really try to do my very best at  
making certain that we do what’s best for all of the kids in Oakland. Thank  
you sir."

President Williams took up Agenda Item 23-0004 for consideration and  
possible adoption. Edgar Rakestraw, Parliamentarian, and Josh Daniels,  
Chief Governance Officer, provided several courses of action for the Board's  
consideration of Legislative File No. 23-0004.  
Director Bachelor, subsequently, made a motion to call a Special Meeting to  
possibly approve Resolution No. 2223-0036 - Rescission of School  
Consolidations for 2022-23.  
Edgar Rakestraw advised President Williams that the motion made by  
Director Bachelor is not in order for the subject matter was not noticed on the  
January 9, 2023 Annual Organizational Meeting Agenda.  
President Williams proceeded to inquire as to when is the earliest time  
Resolution No. 2223-0036 - Rescission of School Consolidations for 2022-23  
can be brought before the Board for deliberation and possible adoption.  
Director Hutchinson made a point of clarification that the discussion of  
Resolution No. 2223-0036 - Rescission of School Consolidations for 2022-23  
is out of order and suggested the Board continue with the January 9, 2023  
Annual Organizational Meeting as noticed.  
Edgar Rakestraw suggested to President Williams that a recess of the  
January 9, 2023 Annual Organizational Meeting to January 11, 2023 at 4:00  
P.M. may be in order, which if taken will give President Williams time to his  
proposed President's Appointments for the 2023 Term, have those  
considered by the Board and possibly adopted on January 11, 2023 at 4:00  
P.M..  
Edgar Rakestraw further advised President Williams that under the Bylaws of  
the Board, Assignments whenever made are a nomination by the President of  
the Board to be discussed and possibly approved by the Board at a noticed  
Meeting.  
Director Davis, thereafter, made a motion, seconded by Director Bachelor, to  
approve item 23-0004 without Attachment C - President's Appointments For  
the 2023 Term.  
The Board discussed the motion on the floor.
